It serves to formalise the arrangement, to define the repayment terms clearly and to keep the relationship between the lender and the borrower free of disputes.
The template is prepared in accordance with the Obligations Act (Zakon o obveznim odnosima), which lets you define all the key terms quickly and simply, ensuring transparency for both parties.
The basic elements of a loan agreement are:
- Subject of the loan: a specified amount of money or of other fungible items given to the borrower for use.
- Repayment deadline: the time within which the borrower must repay the loan; if none is agreed, repayment is expected after a reasonable period has elapsed (a minimum of two months).
- Consideration: interest or some other fee, if agreed. If there is no interest, the loan is free of charge.
- Obligations of the lender: to hand over the agreed subject of the loan to the borrower within the agreed period.
- Obligations of the borrower: to return the same quantity of items of the same kind and quality, and to pay interest if it has been agreed.
- Method of repayment: it may be a single payment or instalments, as the parties agree.
A loan agreement may be concluded orally, but the written form is recommended for legal certainty. If no deadline is set, a reasonable period for repayment applies. If the loan is given in another item but repaid in money, the amount is determined according to the value of that item at the time of handover.
The contract may also contain provisions on security for the loan and the terms for early repayment or withdrawal from the contract against compensation for damage.

Frequently asked questions about the loan agreement
Does a loan agreement between friends or family members have to be in writing?
The law does not require the written form – an oral arrangement is also valid. HOWEVER, without written evidence it is almost impossible to prove a loan in court if a dispute arises. Always draw up a written contract, even with those closest to you, stating the amount, the repayment deadline and the signatures.
Do you have to pay tax if you lend money to a friend or family member with interest?
If you charge interest, it is treated as income from capital and is subject to tax at 12%. If you give an interest-free loan to a company that employs you, the Porezna uprava (Croatian Tax Administration) may take the view that you are receiving a benefit in kind and demand tax. Interest-free loans between natural persons are not taxed.
What if the debtor does not repay the loan and how can you recover your money legally?
With a written contract you can sue for repayment. The procedure is: a formal reminder to the debtor, a claim before the court, a judgment and then enforcement. If you have a loan agreement with notarial solemnization, you can go straight to enforcement without court proceedings. The limitation period for a loan claim is 5 years from the due date.
How do you write a loan agreement so that you are as well protected as possible as the lender?
The contract must state the exact amount in words and figures, the repayment deadline, the interest (or a note that the loan is interest-free), the method of repayment (a single payment or instalments), what happens in the event of late payment (default interest), and the signatures of both parties. For larger amounts, notarial solemnization before a notary public is advisable.
